I. Executive Summary

PT. BAMA Mitra Mandiri – BMM is an IUPOP-K (Ijin Usaha Pertambangan Operasi Produksi Khusus) holder, No: 6/I/IUP/PMDN/2019 issued by BKPM. It is licensed to Transport, Blend, and Trade coal Nationwide including Export. An IUP-OP holder has a concession area and can mine, transport dan sells the coal, but not blending coal sourced from another IUP-OP holder. The blending is fundamental to meet different users’ requirements or specifications such as the calorific value, sulfur, ash and moisture contents. BMM’s main sources of coal in Aceh come from the same group of companies which supply different quality of coals: - PT. Surya Makmur Indonesia – SMI supplies coal with calorific value (GAR) of

around 6,000 kcal/kg - PT. Prima Bara Mahadana – PBM supplies lower calorific value (GAR) of around

3,500 kcal/kg These 2 different coal specifications ensure BMM to be very adaptive to the users’ and markets’ requirements both in quality and quantity. The required coal characteristics can be achieved simply by blending it so to obtain CV (GAR) of 3,300 up-to 6,000+ Kcal/Kg. The other very forceful underlying reason for blending coal is to optimize the economic value. The price un-linearity per Metric Ton (MT) of GAR 6,000 can be over 300% higher than of GAR 3,200. The captive markets are PLTU Nagan Raya-1, Nagan Raya-2,and PT. Semen Andalas in Banda Aceh. BMM has a cost advantage as it is the only Aceh coal supplier that can meet the required specifications with relative short trucking distance. Other (existing) suppliers (competitors) bring the coal from Kalimantan with much higher additional shipping costs. A 2-year FOB off-take contract has been signed with a buyer from India with a minimum 50,000 MT/Month. An SKBDN will be issued by the off-taker 2 weeks before to the shipment. Both SMI and PBM are under the control of BAMA and owned by the same owners. The infrastructures for production are being prepared; some of them are ready e.g. Stockpile and blending area, some hauling roads. All concession areas are APL (Area Penggunaan Lain) that no need for permits from any governmental institutions. There are already agreements with local inhabitants, land acquisition, and some land compensation during production. The equipment required and contractors are also in place. A 2-year off-take contract for a minimum of 50,000 MT/Month also has been signed with a buyer from India.

II. SMI and PBM Mines PT. Surya Makmur Indonesia was formerly named PT. Bama Adhipratama. The change of name was compulsory because there is another company with the same name in Bengkulu, South-West Sumatera.The original concession as awarded to PT.Bama Adhipratama still in the frame of old Mining Law, called Kuasa Pertambangan or KP. It was the authority of the Regent to issue a KP-OP. The new Law for Mining – UU MINERBA 2013, stipulates that all KPs must be upgraded to IUP-OPs or become invalid. The previous KP on the PT. Bama Adhipratama has been updated to IUP-OP, so the name to PT. Surya Makmur Indonesia. PT. Surya Makmur Indonesia’s The IUP-OP as imposed by the new Mining Law has been issued by the Provincial Government i.e. Gubernur Aceh. The IUP-OP or Ijin Usaha Pertambangan Operasi Produksi Batubara is a concession awarded by the Indonesian Government to a Company for production, transportation, and selling the coal of the awarded concession area. An IUP-OP holder must submit their annual plan to the Provincial Government for approval in advance. The Rencana Kerja dan Anggaran Biaya – RKAB 2020 for SMI and PBM have been approved by the Aceh Provincial Government. Over 97% of the concession areas are APL (Area Penggunaan Lain) which do not need any further permissions from any government institutions. All stakeholders from Provincial down to village inhabitants agree and support SMI and PBM. Operations will increase Aceh’s tax revenue, employment opportunities, and local economic activities. SMI and PBM are completely ready to rump up the production in full. The Satellite photo shows all Mining concessions in the Aceh Barat and Nagan Raya Regencies. The only company currently operationg is MIFA. All BMM’s coal blending activities will be concentrated in Nagan Raya, next to Nagan Raya-1 and Nagan Raya-2 PLTUs. The location of theCoal Preparation Plant (CPP) and blending centre is chosen as it is on the coast next to existing PLTUs, and now under construction PLTUs (Nagan Raya-3 and -4). It is next to PLN’s Jetty and MIFA’s Jetty. By law, MIFA’s existing hauling roads can be used base on fee for road maintenance.

III. The Markets Power Plant is designed base on certain characteristics of coal to be used. The boilers which generate steam to drive turbines are calculated on certain CV and moisture to reach its intended power output and efficiency. So do some critical parts such as pulverize/crusher type and capacity. MIFA mines in Aceh only produce coal with GAR of 3,200-3,400 and cannot be used for PLTU Nagan Raya-1 &2.SemenAndalas requires an even higher CV of GAR around 4,500. Most of the coals are shipped from Kalimantan which consequently adds with high transportation costs (hauling, handling, barging, etc). The Calorific Value (CV) of coal formations in West Aceh decreases from North to South. Some mines still not operational as the market requirements and profit margin caused by price fluctuation prevent these mines to do the exploitation. SMI’s coal has a high CVGAR of 6,000 that can be used to blend with the low CV coal, the blended coal will make it not only be more marketable but also profitable. The price of coal is not linear, but rather more on S-curve. The price of GAR 4,200 (blended) is much higher than GAR 3,300 or increase non-linear e.g. price of 1/1/2020 for GAR 3,400 is USD 21.61; GAR 4,200 is USD 34.81, whilst Price ratio 34.81/21.61 = 1.61 is higher than CV ratio 4,200/3,300= 1.273 There are 2 other PLN Electricity Coal Plants (Pembangkit Listrik Tenaga Uap- PLTU) that import coal from Kalimantan. The absence of infrastructure i.e. Roads and ports cause importation from Central Sumatera like Jambi even more costly than from Kalimantan. SMI location provides a secure and huge cost advantage in barging as it is much closer i.e. PLTU Labuhan Angin in Sibolga, and PLTU Teluk Sirih in Padang. Further, there are a lot of spot markets for buyers from Medan and surroundings. The users use the coal for factories electricity plants. The traders/users currently buy and transport the coal from Muarabungo, Jambi to Medan using trucks going through North Sumatera. The difference (cost) in distance from Meulaboh to Medan and from and Meulaboh to Medan is more than 450 Km. The following table shows the potential captive markets as BMM has a distinctive value proposition to these buyers/users:

‐ Cost Advantage generated by position proximity to end-users location yield to the significant cost difference

‐ Dependable delivery as the distance to end-users is closer and not season dependent. Mostly trucking only, or if barging will be short and less stormy sea area

‐ Local Government’s support as it will support local economic growth with local taxes & duties (Pendapatan Asli Daerah – PAD), employment and multiplier effect of it.

‐ PLN new Regulations stipulates that PLTU has to prioritize local source in the coal procurement assuming the price is not more expensive As long as there is a need for coal, even during a buyer market or depressed economic conditions, or glut due to global warming fear, BMM will still profitable and survive owing to the cost advantages. Coal is still the cheaper and abundant source of energy and will take decades to switch over completely to other renewable energy.

IV. RISK & MITIGATION The global coal demand decreases as the fear for global warming increase. There are some issues and mitigations to be addressed. Demand/Market Indonesia still planning and building coal fire power plants for the coming years. The demand may start to decline after a decade from now. But by that time SMI and PBM mines have to be completely mined out or reach the end of mining lives. Before that happen, BMM-SMI-PBM should not have a real issue as elucidated in the Markets above, the risk is extremely remote

Pricing/Margin The Indonesia Coal Index – ICI is quoted in USD, and in line with the global market price. The drastic drop in the low CV may create a serious problem in the margin as the coal getting cost or Cost of Goods Sold – COGS remains equal. Higher CV has more margin to survive during a price slump. BMM can control the margin to a certain extend by blending the coal from SMI with PBM to reach an optimal margin and supply. Due to the BMM-SMI-PBM cost advantage, the company should be the last standing player, especially for Aceh. For financial projections please refer to Part V: Financial.

Substitute Products After the Paris Agreement and Greta Thunberg’s initiative, there more pressure for global warming, and consequently the use of fossil energy. The global electricity production as per 2017 is still dominated by coal. The current global economic condition will make a swift change very improbable.

 

 

    

Yet, the energy mix globally wills not change instantaneously, let alone Indonesia. The RUPTL- Rencana Usaha Penyediaan Tenaga Listrik PT.PLN 2019-2028, shows the use of coal for the power plant will keep increasing, at least till 2028.

Law/Regulation– Regulator Electricity is a basic need for all and a significant portion of the cost of living for low incomes population. It is also a determining component in the production cost of real sectors. The balancing act of Government or Regulator has always been difficult. PLN is a state-owned company and has a monopoly in selling the electricity. The low watt consumers are subsidized by PLN/Government. The Regulator must ensure that PLN keeps operating in financially acceptable conditions or not defaulting. As coal is a very significant portion of the cost, the Regulator has introduced at least the following:

‐ Minimum 25% of coal produced by an IUP-OP holder must be sold locally – Domestic Market Obligation. This can be substituted by paying fee/MT to the Government. The fee is determined by the Government based on the quality or market. Severe sanctions will be imposed for any violation.

‐ There is a price ceiling for PLN’s coal buying price called Harga Batubara Acuan – HBA. The deviation between Indonesia the Coal Index – ICI, and HBA can be noticeably big. Another coal market is based on market price. These regulations made the IUP-OP holders cannot enjoy maximum profit margin during seller market condition. But it is struggling during a market slump. For BMM-SMI-PBM, the “location advantage” will provide ample cushion to absorb the volatility. Currency Risks The Indonesian Coal price is quoted and pegged to USD. All costs are paid in IDR. If it is sold in the domestic market, the payment is also in IDR. Export is normally in USD. Hence, a currency fluctuation will hardly have any negative consequences in profitability.

Politics Aceh has special status or Otonomi Khusus (OTSUS) that give full authority to run the Aceh differently than other Provinces (Papua is also OTSUS).There is only MIFA that produce coal in Aceh Barat and Nagan Raya. PLTUs and Semen Andalas bring their coals from outside Aceh. If local Aceh miners can supply it, Aceh will have additional secure Local Government Revenue or Pendapatan Asli Daerah – PAD. PAD is very crucial in increasing its total budget and budget independent from the central government. Local coal mining companies will also drive local employment and economic. Local governments, from villages to provincial level have been incredibly supportive to BMM-SMI-PBM. BMM-SMI-PBM is committed to maximizing the use of local resources. Some pre-agreements have been made with Local Government enterprises to secure and optimize coal production and transport.

V. FINANCIAL PLAN One way of calculating the cost of producing coal or “coal getting” is the BCM price. Bank Cubic Metre (BCM) is a volumetric term commonly used in the mining industry. BCM represents the contents of a cubic meter of rock in place before it is drilled and blasted. The Costs of Goods Sold (COGS) of various Stripping Ratio (SR), COGS of blended coals with CV-GAR from 3,400 – 6,000, and Indonesian Coal Index (ICI) are attached below. The Graphs also shows the margin gap between selling coal from SMI and PBM separately and selling it as a blended product in accordance with client’s requirements.

Attachment – A: Mining The Open Cast Coal Mining Project In-house and independent explorations for SMI Sungai Mas and PBM Kawai-XVI Open Cast Coal Mining Projects have completed. The study has confirmed the high economic viability of the quality and quantity for development of a centralized production facility on the Sungai Mas and Kawai-XVI district areas. A Re-Assessment Coal Potential study finalized which provide an updated deposit resource estimate. The study has highlighted the particular activities, required for planning purposes, to develop the Pre-development program and budget, and to optimize both the mine and process design. Simultaneously, near reserves and further detail exploration, to providing significant potential scale up the project that will improve the positive findings from the Study. Typical coal quality could be described as follows; Project CV(GAR) Ash(%) TS(%) SungaiMas 5,700 - 6,000 3 – 6 1.2 –2.3 Kawai-XVI 3,400 - 3,500 5 – 16 0.2 –0.4 Estimated latest examination on total measured, indicated and inferred of coal resources and reserves are; Sungai Mas Project exceeds 1.9 million MT, while within the Kawai-XVI Project about 7.8 million MT. The quantity will suffice to support an initial mine life of 8 to 10years. Averages combine both projects steady annual ROM coal production is initially planned at 1.0 to 1.2 million MT. A ramp-up for higher output can be achieved starting month 12th. Both mines have advantageous geographic locality, currently connected by road network to available sea-port and various local market

Further Exploration Coal Potential The Exploration Study and Report are based on a conservative estimate. There is tremendous potential for higher Deposit Reserves and Resources within and surrounding Sungai Mas and Kawai-XVI concession areas. Further explorations will certainly increase the scale and/or life of the planned operation. PT. Surya Makmur Indonesia - SMI

SMI is an IUP-OP holder No. IUP-OP 545/ DPMPTSP / 2564 /1UP-OP./2017 with the validity of 15 Years, and can be extended/renewed twice. The concession area is 1,600 Ha with a proven/mineable coal of at least 1,900,000 MT. The Mine is in the production process in which the infrastructure such as hauling roads and stockpiles are being constructed. It will start with an open pit that will eventually produce a monthly of 20,000 MT coal. Base on the current demand of Aceh market, it eventually extends to 3 pits or capacity of 60,000 MT per month. The SMI high CV makes the mining at stripping ratio of 12 still very attractive. The initial stripping ratio will slightly lower to improve the sales margin.

Prima Bara Mahadana – PBM PBM’s KP-OP Keputusan Bupati Aceh Barat Nomor : 190 Tahun 2012 tanggal 15 Februari 2012 has been upgraded to IUP-OP KEPUTUSAN KEPALA DINAS PENANAMAN MODAL DAN PELAYANAN TERPADU SATU PINTUNOMOR : 545/ DPMPTSP/ 2102 /1UP-OP./2017 PBM has ticker seams of coal. Hence the stripping ratio at the initial stage will be at 2, and as the cash-flow becomes stronger increases to 3.5 to have a higher output per hectare.

Pemegang Izin Usaha Pertambangan (IUP) Operasi Produksi mempunyai

hak u"trf. melakukan kegiatan Konstruksi, Produksi, Pengolahan,

Pemurnian, Pengangkutan dan penjualan dalam WIUP untuk jangka waktu

15 (lima belas) iatrun. Terhitung mulai tanggal ditetapkannya Keputusan ini

sampai dengan tanggal 09 Oktober 2032;

IUP Operasi Produksi ini dilarang dipindahtangankan kepada pihak lain

tanpa pirsetujuan Kepala Dinas Penanaman Modal Dan Pelayanan Terpadu

Satu Pintu.

pT. Surya Makmur Indonesia pemegang IUP Operas.i_ Produksi dalam

melaksanakan kegiatannya mempunyai hak dan Kewajiban sebagaimana

tercantum dalam lampiran III Keputusan ini'

Selambat-lambatnya 60 (enam puluh) hari kerja setelah diterbitkannya

Keputusan ini sudah harus menyampaikan Rencana Kerja dan Anggaran

Biaya (RKAB) kepada Kepala Dinas Penanaman Modal Dan Pelayanan

Terpadu Satu Pintu cq. Kepala Dinas Energi dan Sumber Daya Mineral

Aceh untuk mendapat Persetujuan'

Terhitung sejak 90 (sembilan puluh) hari kerja persetujuan rencana kerja dan

anggaran biaya sebagaimana dimaksud dalam Diktum Kelima pemegang

IUP Operasi Produksi sudah harus memulai aktifitas dilapangan.

Tanpa mengurangi ketentuan peraturan perundang-undangan maka IUP

Operasi Produksi ini dapat diberhentikan sementara, dicabut, atau

dibatalkan, apabila pemegang IUP Operasi Produksi tidak memenuhi

kewajiban dan larangan sebagaimana dalam Diktum Ketiga, Keempat,

Kelima dan Keenam dalam Keputusan ini.

Dengan dikeluarkann)'a Surat Keputusan ini, maka Surat Keputusan Bupati

Aceh Barat Nomor 189 Tahun 2012 tanggal 15 Februai 2012 tentang IzinUsaha Pertambangan (IUP) Operasi Produksi PT. Bara Adhipratamadinyatakan tidak berlaku lagi.

Keputusan ini berlaku sejak tanggal ditetapkan, dengan ketentuan apabila

dikemudian hari terdapat kekeliruan dalam penetaparl ini akan diadakanperbaikan sebagaimana mestinya.
