Sebagian besar target (pertumbuhan Kredit, Perolehan Laba, ROA, ROE, NIM, BOPO, NPL-gross/net dan LDR) yang ditetapkan dalam Rencana Bisnis 2012-2014 telah dapat dicapai.

Dear Shareholders,

In the midst of a global economic deceleration, the stability of Indonesia’s financial system in 2012 was relatively maintained, and the banking sector was able to maintain its good performance. This condition is reflected in the resistance to the global crisis and in the enhancement of banks’ intermediary function, rising third-party funds and profitability.

In general, intermediary function of banks still showed an improvement and could be maintained at the safe level for the economy. Until the end of 2012, the national banking loan disbursement reached Rp.1.890,4 trillion, increased by Rp.395,9 trillion (26.5%) compared to 2011 at Rp.1.494,6 trillion. In addition, the third-party funds also made a significant growth. The amount of third party funds raised by national banking by the end of 2012 reached Rp.3.119,2 trillion, an increase of Rp.420,8 trillion (15.6%) compared to December 2011 amount of Rp.2.698,4 trillion. The national banking income also increased by 23.7%, from Rp.75,1 trillion in 2011 to Rp.92,8 trillion in 2012.

Bank IndexAlthough some of the targets set for 2012 could not be achieved successfully, but in general the achievement of Bank Index’s financial performance in 2012 was quite encouraging. Most of the targets (Loans Growth, Profit, ROA, ROE, NIM, ROA, NPL-gross/net and LDR) as set out in the 2012-2014 Business Plan had been achieved.

Total assets increased 16% from Rp.3.621,7 billion in 2011 to Rp.4.201,6 billion in 2012. In percentage, the growth reached 98.5% of the target as set at Rp.4.263,5 billion.

Di tengah perlambatan ekonomi global, stabilitas sistem keuangan Indonesia di tahun 2012 relatif tetap terjaga, dan sektor perbankan mampu mempertahankan kinerja positif. Hal ini, selain tercermin pada ketahanan dalam menghadapi krisis global, juga tercermin dari peningkatan fungsi intermediasi, penghimpunan dana pihak ketiga dan profitabilitas.

Fungsi intermediasi perbankan secara umum masih menunjukkan peningkatan dan dapat dipertahankan pada level yang aman untuk perekonomian. Sampai akhir tahun 2012, penyaluran kredit perbankan nasional telah mencapai Rp.1.890,4 trilyun, meningkat sebesar Rp.395,9 trilyun (26.5%) dibandingkan posisi tahun 2011 sebesar Rp.1.494,6 trilyun. Selain itu, penghimpunan dana pihak ketiga juga mengalami pertumbuhan yang menggembirakan. Jumlah dana pihak ketiga yang berhasil dikumpulkan perbankan nasional hingga akhir tahun 2012 telah mencapai Rp.3.119,2 trilyun, atau meningkat sebesar Rp.420,8 trilyun (15,6%) dibandingkan posisi Desember 2011 sebesar Rp.2.698,4 trilyun. Perolehan jumlah laba perbankan nasional juga mengalami peningkatan sebesar 23,7%, yaitu dari Rp.75,1 trilyun pada tahun 2011 menjadi Rp.92,8 trilyun pada tahun 2012.

Bank IndexMeskipun ada beberapa target yang ditetapkan untuk tahun 2012 tidak dapat dicapai dengan baik, namun secara umum pencapaian kinerja keuangan Bank Index tahun 2012 cukup menggembirakan. Sebagian besar target (pertumbuhan Kredit, Perolehan Laba, ROA, ROE, NIM, BOPO, NPL-gross/net dan LDR) yang ditetapkan dalam Rencana Bisnis 2012-2014 telah dapat dicapai.

Total asset mengalami peningkatan 16% dari Rp.3.621,7 milyar pada tahun 2011 menjadi Rp.4.201,6 milyar pada tahun 2012. Secara persentase pertumbuhan tersebut mencapai 98,5% dari target yang telah ditetapkan sebesar Rp.4.263,5 milyar.

Pertumbuhan kredit selama tahun 2012 mengalami perkembangan yang cukup baik, baik dibandingkan dengan posisi akhir tahun 2011 maupun dari sisi pencapaian target. Total Kredit yang diberikan mengalami peningkatan 19,9%, dari Rp.2.732,2 milyar pada tahun 2011 menjadi Rp.3.274,8 milyar pada akhir tahun 2012. Demikian juga pencapaian target kredit, dibandingkan dengan budget yang telah ditetapkan sebesar Rp.3.211,9 milyar, pencapaiannya mencapai 102%.

Dana Pihak Ketiga yang meliputi Giro, Tabungan dan Deposito Berjangka mengalami peningkatan 15,5% dari Rp.3.198,8 milyar pada tahun 2011 menjadi Rp.3.693,8 milyar pada tahun 2012. Dari sisi pencapaian target, total Dana Pihak Ketiga yang berhasil dihimpun sampai dengan Desember 2012 mencapai 97,5% dari target yang ditetapkan sebesar Rp.3.787,9 milyar.

Pada tahun 2012 Bank Index membukukan laba sebelum pajak sebesar Rp.98,8 milyar atau meningkat 152% dibandingkan posisi tahun 2011 sebesar dari Rp 39,2 milyar.

Dewan Komisaris telah memeriksa Laporan Keuangan Bank Index untuk tahun yang berakhir 31 Desember 2012, dan menerimanya sebagai bentuk pertanggung jawaban kepengurusan Bank Index selama tahun berjalan. Dewan komisaris juga menilai bahwa fungsi pengawasan terhadap kepengurusan Bank Index berhasil ditingkatkan, antara lain melalui peran komite-komite di bawah Dewan Komisaris yang semakin dirasakan manfaatnya. Di sisi lain Dewan komisaris juga melihat bahwa, direksi telah berhasil meningkatkan Penerapan Tata Kelola Perusahaan yang baik di Bank Index.

Sebagai wujud komitmen pemegang saham untuk memenuhi kebutuhan modal Bank Index, pada tahun 2012 telah dilakukan dua kali tambahan setoran modal, masing-masing pada Juni 2012 sebesar Rp.25 milyar dan Agustus 2012 sebesar Rp.20 milyar, sehingga total ekuitas Bank Index pada akhir tahun 2012 menjadi sebesar Rp.417,6 milyar.

Loans growth during 2012 developed quite well, either compared to its position at the end 2011 or the target achievement. Total loans increased by 19.9%, from Rp.2.732,2 billion in 2011 to Rp.3.274,8 billion at the end of 2012. As such, the bank achieved 102% of the loans target which was set at Rp.3.211,9 billion.

The third-party funds which include Current Accounts, Savings Accounts and Time Deposits increased 15.5% from Rp.3.98,8 billion in 2011 to Rp.3.693,8 billion in 2012. In terms of achievement, the total third-party funds raised up to December 2012 reached 97.5% of the target which was set at Rp.3.787,9 billion.

In 2012 Bank Index recorded a profit before tax of Rp.98,8 billion, an increase of 152% compared to the year 2011 of Rp.39,2 billion.

The Board of Commissioners had examined the Financial Statements of Bank Index for the year ending December 31, 2012, and accepted as a form of accountability of the management of Bank Index during the year. The Board of Commissioners also recognized that the supervisory function of the management of Bank Index has successfully been improved, among others through the role of the committees under the Board of Commissioners that have reaped benefits. On the other hand, the Board of Commissioners also sees that the Board of Directors has managed to improve the implementation of Good Corporate Governance in Bank Index.

As part of the commitment of shareholders to meet the capital needs of Bank Index, in 2012 they have made two additional capital injection, respectively in June 2012 at the amount of Rp.25 billion and in August 2012 at the amount of Rp.20 billion, bringing the total equity of Bank Index to Rp.417,6 billion at the end of 2012.

Berdasarkan hasil pengawasan terhadap pengelolaan risiko, dapat kami laporkan bahwa, meskipun ada beberapa hal yang perlu disempurnakan, Bank Index telah menerapkan manajemen risiko sesuai dengan kompleksitas profil risiko dan kegiatan usaha. Bank Index telah membangun budaya risiko dan menerapkan system manajemen risiko pada setiap unit kerja, serta praktek tata kelola perusahaan yang baik. Kami percaya bahwa SDM, sistem, serta tata kelola (governance) merupakan aspek dasar dalam pengelolaan bisnis secara berkelanjutan yang mampu memberikan nilai lebih kepada pemegang saham, sekaligus bermanfaat bagi nasabah, karyawan dan masyarakat. Secara keseluruhan Bank Index telah mencapai hasil yang baik di tahun 2012.

Melalui laporan ini Dewan komisaris ingin menyampaikan penghargaan dan terima kasih kepada seluruh nasabah dan Bank Indonesia atas segala dukungan, kepercayaan dan pembinaannya. Kepada para anggota Direksi dan seluruh karyawan, kami juga menyampaikan penghargaan yang tinggi atas kerjasama, dedikasi, semangat dan komitmen yang telah diberikan dalam mencapai target-target yang ditetapkan selama tahun 2012.

Terakhir, harapan kami agar Direksi terus menjalankan usaha yang cermat dan berhati-hati (prudent), berpegang pada prinsip tata kelola perusahaan yang baik, serta patuh pada seluruh peraturan yang ada. Based on the results on monitoring of risk management, we can report that although there are a few things that need to be refined, Bank Index has implemented risk management in accordance to the risk profile complexity and business activities. Bank Index has built a culture of risk and applied risk management system in each business unit, as well as the practice of good corporate governance. We believe that the human resources, systems, and governance are fundamental aspects in the management of sustainable business that can deliver greater value to our shareholders, as well as beneficial for our customers, employees and communities. Overall Bank Index had achieved good results in 2012.

Through this report, the Board of Commissioners would like to express our appreciation and thanks to all our customers and Bank Indonesia for their support, trust and guidance. To the members of the Board of Directors and all employees, we also express high appreciation for their cooperation, dedication, passion and commitment in achieving the targets set for the year 2012.

Finally, we hope that the Board of Directors will continue to run the business with competence and prudence, adhering to the principles of good corporate governance, as well as complying with all existing regulations. We should be thankful in the midst of the world economic slowdown, the Indonesian economy grew by 23.6% in 2012, with a relatively low inflation rate (4.3%). This growth is the second highest growth rate in the world after China, which grew by 7.8%.

The high economic growth in Indonesia is mainly driven by domestic demand. In the last eight years, Indonesia’s economy continued to grow quite high, reaching an average of over 6% per year and is one of the countries with the highest growth rate as well as the most stable in the world. In 2013, Indonesia’s economy is expected to grow even higher, in the range of 6.3%-6.8%.

In line with the good performance of the national economy and relatively stable interest rate (BI Rate), the development of Bank Index’s performance during 2012 also looked quite encouraging. Total assets as of 31 December 2012 reached Rp.4.201,6 billion, up by 16% compared to the end of 2011 which amounted to Rp.3.621,7 billion.

Loans disbursed reached Rp.3.274,8 billion or an increase of 19.9% compared to 2011 which amounted to Rp.2.732,2 billion. Third-party funds raised until the end of 2012 was Rp.3.693,8 billion, an increase of 15.5% compared to 2011 which amounted to Rp.3.198,8 billion. The largest contributor to this increase is from Current Accounts which grew by 18.5% or Rp.83,1 billion, Time Deposits which grew by 15.3% or Rp. 370,1 billion, and Savings Accounts which grew by 13% or Rp.41,9 billion.

At the end of 2012, Bank Index recorded a profit before tax of Rp.98, 8 billion and net profit (after tax) of Rp.74 billion. The net income increased by 145.1% compared to the year 2011 which amounted to Rp.30,2 billion.

Kita patut bersyukur di tengah perkembangan ekonomi dunia yang melambat, ekonomi Indonesia tumbuh sebesar 6.23% pada tahun 2012, dengan tingkat inflasi yang relatif rendah (4,3%). Pertumbuhan tersebut merupakan yang tertinggi ke-dua di dunia setelah China, yang mengalami pertumbuhan sebesar 7.8%.

Tingginya pertumbuhan ekonomi Indonesia, terutama ditopang oleh permintaan domestik. Dalam delapan tahun terakhir, perekonomian Indonesia terus tumbuh cukup tinggi, yaitu mencapai rata-rata di atas 6% per tahun dan merupakan salah satu negara dengan tingkat pertumbuhan tertinggi sekaligus paling stabil di dunia. Pada tahun 2013, perekonomian Indonesia diperkirakan akan tumbuh lebih tinggi, yaitu pada kisaran 6.3%-6.8%.

Seiring dengan bagusnya kinerja perekonomian nasional dan relatif stabilnya tingkat bunga (BI Rate), perkembangan kinerja Bank Index selama tahun 2012 juga terlihat cukup menggembirakan. Total aktiva per 31 Desember 2012 mencapai Rp.4.201,6 milyar, tumbuh 16% dibandingkan posisi akhir tahun 2011 sebesar Rp.3.621,7 milyar.

Kredit yang diberikan mencapai Rp.3.274,8 milyar atau meningkat sebesar 19,9% dibandingkan tahun 2011 sebesar Rp.2.732,2 milyar. Dana Pihak Ketiga yang telah berhasil dihimpun sampai akhir tahun 2012 adalah Rp.3.693,8 milyar, meningkat 15,5% dibandingkan posisi akhir tahun 2011 sebesar Rp.3.198,8 milyar. Kontribusi terbesar kenaikan tersebut masing-masing disumbangkan oleh Giro sebesar 18,5% atau Rp.83,1 milyar, disusul Deposito sebesar 15,3% atau Rp.370,1 milyar, dan Tabungan sebesar 13% atau naik sebesar Rp.41,9 milyar.

Pada akhir tahun 2012, Bank Index berhasil membukukan laba sebelum Pajak sebesar Rp.98,8 milyar dan laba bersih (setelah pajak) sebesar Rp.74 milyar. Perolehan laba bersih tersebut meningkat sebesar 145,1% dibandingkan tahun 2011 sebesar Rp.30,2 milyar.

Membaiknya pencapaian kinerja keuangan juga tercermin pada beberapa rasio keuangan, seperti ; Capital Adequacy Ratio (CAR) sebesar 11,57%, di atas ketentuan Bank Indonesia sebesar 8%, Return on Assets (ROA) sebesar 2,45%, Return on Equity (ROE) sebesar 24,33%, Net Interest Margin (NIM) sebesar 4,89%, Non Performing Loan (NPL) gross sebesar 0,17%, Rasio Biaya Operasional terhadap Pendapatan Operasional (BOPO) sebesar 76,05% dan Loan to Deposit Ratio (LDR) sebesar 88,7%.

Dalam hal perluasan jaringan kantor, pada tahun 2012 Bank Index telah merealisasikan pembukaan 1 (satu) kantor cabang pembantu di kawasan Pesanggrahan–Jakarta Barat, dan merelokasi (memindahkan) kantor cabang pembantu Dutamas-Jakarta Barat, ke lokasi lainnya yang berdekatan dengan lokasi sebelumnya.

Untuk menambah Dana Pihak Ketiga yang bersifat jangka panjang, maka pada bulan Juli 2012 Bank Index telah mengeluarkan produk Tabungan Idaman. Produk ini merupakan hasil kerja sama Bank Index dengan PT. Commonwealth Life, dimana setiap penabung Tabungan Idaman, selain mendapat suku bunga yang menarik juga mendapatkan proteksi asuransi jiwa dan asuransi kesehatan rawat inap di rumah sakit.

Di tahun 2013, ada beberapa rencana strategis yang akan dilaksanakan oleh Bank Index yaitu meliputi ;

• Peningkatan modal bank melalui kegiatan Initial Public Offering (IPO) atau go public yang rencananya akan dilakukan pada Semester II tahun 2013.

• Peningkatan pelayanan kepada nasabah melalui pengembangan electronic channel (e-banking) yaitu pelayanan Internet Banking dan Mobile Banking.

• Peningkatan kualitas sumber daya manusia, melalui pelatihan/training officer, yang disebut sebagai “Officer Development Program-ODP), yang pada tahun 2013 akan memasuki angkatan ke 5.

The improved financial performance is also reflected in financial ratios, such as Capital Adequacy Ratio (CAR) of 11.57%, above the Central Bank of Indonesia regulation of 8%, Return on Assets (ROA) of 2.45%, Return on Equity (ROE) of 24.33%, Net Interest Margin (NIM) of 4.89%, Non Performing Loan (NPL) of 0.17% gross, Ratio of Operating Expenses to Operating Income (BOPO) of 76.05% and Loan to Deposit Ratio (LDR) of 88.7%.

In terms of branch network expansion, in 2012 Bank Index had realized the opening of one branch office in the area of Pesanggrahan, West Jakarta, and relocated the branch office of Dutamas-West Jakarta to another location which is adjacent to the previous location.

To increase the composition of Third Party Fund with a long-term tenure, in July 2012 Bank Index launched a product called Tabungan Idaman. This product is the result of the collaboration between Bank Index and Commonwealth Life Ltd, in which every Tabungan Idaman account holder, besides getting an attractive interest rate, is also protected with a life insurance and health insurance of inpatient in the hospital.

In 2013, Bank Index will implement a couple of strategic plans which include:

• Increasing bank capital through Initial Public Offering (IPO) or going public which will be realized in the second semester of 2013.

• Improving customer service through the development of electronic channels e-banking) services, namely Internet Banking and Mobile Banking.

• Improving the quality of human resources, through training which is known as “Officer Development Program” (ODP), which will be on its 5th batch in 2013.

Realisasi pemberian kredit kepada Usaha Mikro Kecil dan Menengah (UMKM) per akhir tahun 2012 telah mencapai Rp.2.102,3 milyar. Jumlah pemberian kredit kepada usaha Mikro, Kecil dan Menengah masing-masing sebesar Rp.5,7 milyar, Rp.428,1 milyar dan Rp.1.668,5 milyar.

Dana Pihak KetigaPertumbuhan dana pihak ketiga juga menunjukkan perkembangan yang relatif baik. Sampai dengan akhir tahun 2012, dana pihak ketiga yang berhasil dihimpun adalah Rp.3.693,8 milyar atau meningkat sebesar 15,5% dibandingkan posisi akhir tahun 2011. Kontribusi terbesar kenaikan tersebut masing-masing disumbangkan oleh Giro sebesar 18,5% atau Rp.83,1 milyar, deposito sebesar 15,3% atau Rp.370,1 milyar, dan Tabungan sebesar 13% atau Rp.41,9 milyar.

Third Party FundsGrowth in third party funds also indicated a relatively good progress. Total accumulated third party funds at the end of 2012 was Rp.3.693,8 billion or 15,5% more compared to that at the end of 2011. The biggest contribution was due to increase in Demand Deposits by 18,5% or Rp.83,1 billion, Time Deposits by 15,3% or Rp.370,1 billion, and Savings increased by 13% or Rp.41,9 billion.

Rasio NPL gross dan NPL net per 31 Desember 2012 adalah sebesar 0,17% dan 0,14%. Kedua rasio ini relatif cukup baik dibandingkan rasio maksimal yang dipersyaratkan oleh Bank Indonesia sebesar 5%.

Gross and net NPL ratio as of 31 December 2012 were 0,17% and 0.14%. These ratios were sufficiently good compared to the maximum ratio required by Bank Indonesia rate, which was 5%.

Tingkat Suku Bunga Tingkat suku bunga untuk kredit yang diberikan berkisar antara 2% sampai dengan 25,97% untuk tahun yang berakhir pada tanggal 31 Desember 2012. Total pendapatan bunga kredit yang diterima pada tahun 2012 adalah sebesar Rp.368,7 milyar.

Tingkat Kesehatan BankBerdasarkan perhitungan internal sesuai metode perhitungan kesehatan yang ditentukan oleh Bank Indonesia (SE.BI nomor 13/24/DPNP tanggal 25 Oktober 2011, Tingkat Kesehatan Bank (TKB) Bank Index berdasarkan Risiko per posisi 31 Desember 2012, adalah peringkat “1” karena beberapa hal antara lain:

• Hasil mapping pada risiko inherent dan system pengendalian risiko, profil risiko Bank Index per posisi 31 Desember 2012 mempunyai risiko secara keseluruhan Low dengan system pengendalian risiko Strong atau digolongkan dalam peringkat 1 (satu).

• Berdasarkan hasil self assessment untuk pelaksanaan tata kelola di Bank Index periode Desember 2012 digolongkan dalam peringkat 1 (satu) yang mencerminkan Manajemen Bank Index telah melakukan penerapan Good Corporate Governance (GCG) yang secara umum sangat baik dan telah sesuai dengan prinsip-prinsip dan ketentuan tentang pelaksanaan Good Corporate Governance (GCG) bagi Bank Umum.

• Rentabilitas Bank Index untuk periode Desember 2012 digolongkan dalam peringkat 1 (one) dimana secara umum kinerja rentabilitas sangat memadai yang tercermin dari perolehan laba yang cukup tinggi serta melebihi target rencana bisnis Bank dan kemampuan rentabilitas tinggi untuk mengantisipasi potensi kerugian serta meningkatkan modal Bank Index.

• Bank Index memiliki kualitas dan kecakupan permodalan yang memadai relatif terhadap profil risikonya yang disertai dengan pengelolaan permodalan yang kuat sesuai

Loan Interest Rate The loan interest rates charged in 2012 ranged from 2% to 25,97%. Total interest income recorded in 2012 was Rp.368,7 billion.

Bank RatingBased on the internal health calculation method as prescribed by Bank Indonesia (SE.BI number 13/24/DPNP dated October 25, 2011, the health rate of Bank Bank Index based on risk per position as of December 31, 2012 was categorized as “1st” level for the following reasons:

• Based on the mapping of inherent risks and risk control system, it was found that the risk profile of Bank Index as of December 31, 2012 was low with strong risk control ranked in tier 1 (one).

• Based on the self assessment, the implementation of Bank Index governance up to December 2012 was classified as rank 1 (one). It means that the Bank’s Management had implemented Good Corporate Governance (GCG). The implementation was evaluated as generally very good and compliant with the principles of Good Corporate Governance (GCG) for Commercial Banks.

• Bank Index’ rentability for the period of December 2012 was classified as rank one (1), which means the performance of the bank was generally very adequate as reflected in the relatively high profitability, and exceeded the bank’s business plan targets and the ability to anticipate any potential losses and and increase the capital.

• Bank Index was considered to have sufficent quality and capital adequacy relative to the risk profile accompanied by strong

dengan karakteristik, skala usaha dan kompleksitas usaha Bank Index, sehingga untuk periode Desember 2012 permodalan Bank Index digolongkan dalam peringkat 2 (dua) dimana tingkat modal berada lebih tinggi dari ketentuan Kewajiban Penyediaan Modal Minimum (KPMM) berlaku dan diperkirakan akan tetap berada di tingkat ini serta membaik untuk masa 12 bulan mendatang. Disamping itu Bank tidak akan mengalami kesulitan untuk meningkatkan permodalan.

Bank Index recognizes the importance of conducting its business activities in accordance to the principle of Good Corporate Governance (GCG). The proper implementation of Good Corporate Governance not only increases the credibility of the Bank, but also adds value to shareholders in the long run.

Bank Index has formalized a GCG code of conduct to provide general rules and guidelines to all elements in the Bank.

General Meeting of Shareholders General Meeting of Shareholders is the highest element in Bank Index’s organizational hierarchy. The General Meeting of Shareholders resolves to appoint or dismiss Directors and Commissioners, ask Directors and Commissioners for their accountabilities, approve amendments in Article of Association, approve Annual Report, appoint Public Accountant, and determine the appropriation of the Bank’s net profit.

In 2012 Bank Index held General Meeting of Shareholders (GMS) 3 times:

1. May 31 2012, the GMS had the following agenda:

• Approval of Financial Report for the fiscal year ended 31-12-2011 audited by Public Accountant DARMAWAN, HENDANG & YOGI.

• Approval of Board of Directors’ Report on the activities performed in the financial year ending 31-12-2011.

Bank Index sangat menyadari akan pentingnya mengelola perusahaan sesuai dengan apa yang kini dikenal sebagai prinsip Tata Kelola Perusahaan Yang Baik (Good Corporte Governance-GCG). Penerapan prinsip Tata Kelola Perusahaan yang baik dapat meningkatkan kepercayaan masyarakat terhadap Bank, dan juga dalam jangka panjang dapat memberikan nilai tambah bagi pemegang saham.

Dari sisi kebijakan formal perusahaan, Bank Index telah menyusun suatu kebijakan dasar Tata Kelola Perusahaan (GCG), sebagai acuan bagi seluruh jajaran Bank Index dalam penerapan prinsip-prinsip Tata Kelola Perusahaan yang baik.

Wewenang RUPS antara lain mengangkat dan memberhentikan anggota Direksi dan Dewan Komisaris, meminta pertanggungjawaban Direksi dan Dewan Komisaris atas pelaksanaan tugas dan kewajibannya, menyetujui perubahan anggaran dasar, menyetujui laporan tahunan dan mengesahkan perhitungan tahunan, menunjuk Akuntan Publik, serta memutuskan penggunaan laba.

Selama tahun 2012 Rapat Umum Pemegang Saham (RUPS) Bank Index dilakukan 3 (tiga) kali yaitu:

Pada tanggal 31 Agustus 2012, dengan agenda acara :• Memberi persetujuan peningkatan modal ditempatkan dan modal disetor Perseroan dari Rp.185.001.000.000,- (seratus delapan puluh lima milyar satu juta rupiah) menjadi Rp.205.001.000.000,- (duaratus lima milyar satu juta rupiah). Dengan menerbitkan saham baru sebanyak 20.000 (dua puluh ribu) saham atau senilai Rp.20.000.000.000,- (dua puluh milyar rupiah).

Dewan KomisarisTugas pokok Dewan Komisaris antara lain melakukan pengawasan terhadap kebijakan Direksi dalam mengelola Bank Index, termasuk memberikan arahan dan masukan berkaitan dengan tugas dan kewajiban Direksi serta persetujuan atas rencana strategis Bank. Dewan Komisaris juga memantau penerapan manajemen risiko di lingkungan Bank, serta melakukan evaluasi atas hasil temuan audit internal maupun eksternal dan memantau tindak lanjut atas temuan-temuan tersebut.

Satuan Kerja Audit Intern (SKAI)Satuan Kerja Audit Intern (SKAI) dibentuk untuk bertanggung jawab atas pelaksanaan fungsi audit internal di Bank Index. SKAI berkedudukan dan melaksanakan tugasnya secara independen terhadap satuan dan unit-unit kerja operasional.

Untuk meningkatkan intensitas dari fungsi audit internal, SKAI telah membentuk suatu unit kerja khusus yang diberi nama Unit Kontrol Internal (UKI). Unit ini disebut juga sebagai “Flying SKAI” karena unit ini dapat melakukan pemeriksaan khusus secara dadakan dan tidak terjadwal ke setiap unit kerja di semua kantor Bank Index. Selain itu dalam rangka mencegah terjadinya kasus-kasus

Internal Audit Working Unit (SKAI)Internal Audit Working Unit is established to be responsible for the implementation of the internal audit function in Bank Index. Internal Audit Working Unit has the authority to perform its duties independently of the unit and the operational units.

To increase the intensity of the internal audit function, Internal Audit Working Unit has established a special unit called the Internal Control Unit. This unit is also known as “Flying Internal Audit” because this unit can perform special inspections impromptu and unscheduled to any business unit in all offices of Bank Index. In addition, in order to prevent the deviation cases in the bank’s

penyimpangan transaksi operasional pada bank, khususnya Fraud yang dapat merugikan nasabah atau bank, Manajemen membentuk pula unit yang dinamakan “Anti Fraud” yang merupakan unit kerja dari SKAI. Unit ini akan menerapkan “Strategi Anti Fraud” sebagai upaya meminimalkan risiko Fraud. Strategi Anti Fraud merupakan wujud komitmen Manajemen Bank dalam mengendalikan Fraud yang diterapkan dalam bentuk “Sistem Pengendalian Fraud”. Strategi ini menuntut Manajemen untuk mengerahkan sumber daya agar Sistem Pengendalian Fraud dapat diimplementasikan secara efektif dan berkesinambungan.

Berdasarkan temuan-temuan dari hasil pemeriksaan sepanjang tahun 2012 menunjukkan bahwa hingga saat ini, sistem dan prosedur operasional yang telah dijalankan di Bank Index masih berjalan dalam tahap yang baik, wajar dan terkendali.

Risk management in Bank Index is constantly developed according to Bank Indonesia Regulation of Risk Management Implementation. The implementation of risk management system in Bank Index weighs in on the balance between business needs and the inherent risks. The Bank continually improves its risk management system in line with the business growth. To mitigate risks, Bank Index always reviews credit risk criteria, monitor and control market risk related to treasury activities, set liquidity and operating risk limits.

Credit RiskCredit risk is a risk of the inability of debtors and/or other parties in fulfilling their obligations to the Bank.

In an effort to mitigate credit risk, Bank Index constantly reviews its credit risk criteria. This is evident in setting up the scope and parameters used to produce a credit risk profile, as well as making policies to reduce credit risk. Bank Index continually improves credit risk control mechanism through system development and credit process management.

Market RiskMarket risk is a risk at the balance sheet positions, including derivative transactions, resulting from overall changes in market conditions, including risks of changes in option prices.

Pengembangan manajemen risiko di Bank Index senantiasa berpedoman pada peraturan Bank Indonesia tentang Penerapan Manajemen Risiko bagi Bank Umum. Bank Index menerapkan sistem manajemen risiko dengan menjaga keseimbangan antara tuntutan bisnis dengan risiko yang terkait. Bank secara terus menerus melakukan penyempurnaan terhadap prinsip, kebijakan dan prosedur manajemen risiko seiring dengan pertumbuhan bisnisnya. Bank Index senantiasa melakukan kaji ulang terhadap kriteria yang digunakan dalam mengevaluasi risiko kredit, serta pemantauan dan pengendalian terhadap risiko pasar yang terjadi pada aktivitas treasuri, penetapan limit risiko likuiditas dan risiko operasional dalam upaya mengendalikan risiko yang muncul pada bank.

Risiko Kredit Risiko kredit adalah risiko akibat kegagalan debitur dan/atau pihak lain dalam memenuhi kewajiban kepada Bank.

Dalam mengelola risiko kredit, Bank Index melakukan pengkajian secara terus-menerus. Hal ini dapat terlihat dalam penentuan cakupan dan parameter-parameter yang telah diuji dalam menghasilkan profil risiko kredit, serta penentuan kebijakan-kebijakan yang diperlukan untuk mengurangi risiko kredit. Bank Index secara terus menerus meningkatkan pengendalian melalui pengembangan sistem dan proses kontrol terhadap pemberian kredit.

Risiko PasarRisiko Pasar adalah risiko pada posisi neraca dan rekening administratif termasuk transaksi derivatif, akibat perubahan secara keseluruhan dari kondisi pasar, termasuk Risiko perubahan harga option.

Market risk management is a main topic of discussion in the Asset Liability Committee (ALCO) meetings. ALCO analyses market data and investment portfolio price movements so that adverse changes can be anticipated early.

Operational RiskOperational risk is a risk due to insufficiency and/or breakdown of the internal processes, human error, system failure, and/or presence of external events affecting the operations of the Bank.

If not properly managed, growth in the number of offices and number of employees can also increase the potential of operational risks. Failure in managing operational risk can result in losing customers’ trust and possibly incurring financial losses.

To mitigate operational risks, Bank Index has developed a comprehensive and user-friendly banking operations manual. The Bank also has a Branch Coordinator and Help Desk unit whose main responsibility is to assist fellow colleagues in any banking operations related issues. Core banking application users are also provided with operational refreshment courses at least once a year.

Legal RiskLegal risk is a risk that occurs due to lawsuits and/or weaknesses of legality aspects. Therefore, Bank Index always ensures that all agreements and contracts with other parties

Pengelolaan terhadap risiko pasar dilakukan melalui rapat ALCO (Asset Liability Commitee). Pada forum ini, ALCO menganalisa data-data keuangan dan pergerakan harga dari portofolio investasi yang dimiliki bank, agar secara dini dapat diantisipasi kemungkinan-kemungkinan yang dapat merugikan bank.

Risiko OperasionalRisiko Operasional adalah risiko akibat ketidakcukupan dan/atau tidak berfungsinya proses internal, kesalahan manusia, kegagalan sistem, dan/atau adanya kejadian-kejadian eksternal yang mempengaruhi operasional Bank.

Perkembangan jumlah kantor dan tenaga kerja yang tidak dikelola secara baik juga akan memperbesar potensi risiko operasional yang akan dihadapi Bank. Kegagalan dalam mengelola risiko operasional dapat mengakibatkan terjadinya kerugian, baik kerugian karena turunnya kepercayaan nasabah kepada bank maupun kerugian finansial lainnya.

Untuk mengurangi potensi risiko operasional, Bank Index telah membuat pedoman operasional yang lengkap dan user-friendly untuk digunakan oleh pegawai dan pejabat operasional yang terkait. Bank Index juga telah membentuk unit kerja Branch Coordinator dan Help Desk yang bertanggung jawab untuk memberikan bantuan kepada rekan kerja operasional dalam hal yang berkaitan dengan operasional perbankan. Selain itu, pengguna aplikasi perbankan juga dapat ikut serta dalam kursus penyegaran (refreshment courses) yang diadakan paling sedikit 1 (satu) kali dalam setahun.

Risiko HukumRisiko Hukum adalah risiko akibat tuntutan hukum dan/atau kelemahan aspek yuridis.

Risiko ReputasiRisiko Reputasi adalah risiko akibat menurunnya tingkat kepercayaan stakeholder yang bersumber dari persepsi negatif terhadap Bank.

Untuk mengatisipasi risiko reputasi, sekaligus meningkatkan pelayanan kepada nasabah, Bank Index telah membentuk unit Customer Care yang secara khusus menangani pengaduan dan pertanyaan-pertanyaan dari nasabah. Selain itu Bank Index, juga terus berupaya untuk meningkatkan sarana publikasi melalui website www.bankindex.co.id. yang selalu di-update.

Risiko StrategisSebagai upaya untuk menghindari timbulnya risiko strategis, Bank Index selalu berupaya untuk melaksanakan strategi perusahaan sesuai dengan yang telah digariskan dalam Rencana Bisnis Bank.

Risiko KepatuhanRisiko Kepatuhan merupakan risiko yang timbul akibat Bank tidak mematuhi atau tidak melaksanakan peraturan atau perundang-undangan yang berlaku. Compliance RiskCompliance risk can arise from any failure to adhere to prevailing rules and regulations in Indonesia. To minimize compliance risk, Bank Index optimized the effectiveness of its internal control by establishing a SKAI Flying Team that can conduct spontaneous audits on any working units or offices.

Berdasarkan laporan profil risiko yang telah disampaikan kepada Bank Indonesia, dapat digambarkan bahwa secara keseluruhan Profil Risiko Inherent Bank Index per posisi 31 Desember 2012 tergolong Low dengan system pengendalian risiko Strong.

Selain itu, dalam rangka meningkatkan kemampuan Sumber Daya Manusia dalam pengelolaan risiko, Bank Index telah secara konsisten mengikutsertakan karyawannya dalam program pelatihan internal maupun eksternal, termasuk mengikuti Program Sertifikasi Manajemen Risiko.

Basel IISesuai dengan ketentuan yang ditetapkan oleh Bank Indonesia, implementasi/ penerapan Basel II, telah mulai dilaksanakan di Bank Index sejak Januari 2010.

Kebijakan Manajemen1. Pembukaan kantor cabang di luar wilayah

Jakarta, akan fokus pada daerah tertentu dengan membuka sekaligus lebih dari 1 (satu) kantor cabang, dan/atau capem, dan/atau kantor kas. Hal ini dimaksudkan untuk memperkuat kehadiran dan keberadaan Bank Index disuatu tempat atau kota tertentu.

2. Pembukaan kantor cabang/capem/kantor kas di wilayah Jakarta dan sekitarnya, difokuskan pada sentra-sentra perdagangan, pasar, atau daerah-daerah yang mempunyai prospek usaha kecil dan menengah.

3. Penyaluran kredit akan tetap fokus pada sektor usaha Komersial Retail dengan minimum target 70% dari total portofolio kredit Bank Index dan sisanya akan disalurkan ke sektor konsumer.

4. Tidak melakukan pembiayaan terhadap sektor atau bidang usaha yang sangat sensitif terhadap faktor sosial politik.

5. Tidak membangun kerja sama dalam hal funding maupun lending dengan badan usaha atau perorangan yang menjalankan usaha yang tergolong illegal.

6. Menyediakan secondary reserve dalam bentuk surat berharga berupa SBI minimal sesuai dengan ketentuan Bank Indonesia.

7. Membatasi kredit sebesar 90% dari dana pihak ketiga (DPK)

8. Total portofolio dalam surat berharga yang memiliki suku bunga mengambang (floating rate) maksimal sebesar 20% dari total portofolio surat berharga.

9. Tidak mengambil posisi atau melakukan trading valuta asing yang bersifat spekulatif /gambling.

Management’s Strategy1. The opening of new branch offices outside

Jakarta will be concentrated in particular areas where the Bank would open more than 1 (one) branch office, in the form of sub-branch office and/or cash office, for the purpose of strengthening the presence and existence of Bank Index in one particular place or city.

2. Opening of new branches/sub-branches/cash offices in Jakarta and its surrounding areas will focus on locations such as trade centers, markets, and areas where small and medium business prospects exist.

3. Loans distribution will remain focused on the Commercial Retail business sector with a minimum target of 70% of the total credit portfolio of Bank Index and the rest will be distributed to the consumer sector.

4. Not to finance any business sectors that are sensitive to social politics.

5. Not to cooperate, in terms of funding and lending, with any individual or entity that is involved in what is considered to be illegal business.

6. Providing secondary reserves in the form of securities or SBI in accordance with the provisions of Bank Indonesia.

7. Establish maximum total loans at the level of 90% of total third party funds.

8. Establish total portfolio in floating rate securities at the maximum level of 20% of total marketable securities portfolio.

9. Bank Index will not take any positions or make any speculative foreign exchange trading.

10. Karyawan sebagai aset perusahaan akan di-reward secara financial dan non finanlcial sepadan dengan kontribusinya terhadap perusahaan.

Rencana Jangka PendekBerdasarkan hasil analisis SWOT yang dilakukan secara internal, serta untuk mencapai sasaran yang telah ditetapkan, maka pada tahun 2013 Bank Index akan menjalankan beberapa strategi atau program kerja, diantaranya adalah;1. Untuk memperkuat struktur permodalan,

Bank Index akan melakukan Initial Public Offering (IPO) pada semester II tahun 2013.

6. Untuk meningkatkan dana pihak ketiga sekaligus meningkatkan rasio dana murah (CASA-Current Account & Saving Account Ratio), dan meningkatkan dana tabungan dalam jangka panjang Bank Index akan meng-intensifkan pemasaran produk Tabungan Idaman dan Giro Plus.

7. Meningkatkan fee based income, antara lain melalui:• Pengayaan fitur electronic delivery

Channel, sebagai upaya mengoptimalkan fasilitas dan meningkatkan transaksi Bill Payment.

• Meningkatkan volume dan transaksi, trade finance, remittance dan foreign exchange (FX).

8. Dalam rangka pemenuhan kebutuhan Sumber Daya Manusia yang berkualitas dimasa yang akan datang, Bank Index akan mengadakan program pelatihan Officer Development Program (ODP), yang direncanakan berlangsung pada kuartal II 2013.

10. Seen as the company’s assets, employees will be financially and non-financially rewarded commensurate with their contribution to the company.

Short-Term PlanBased on the result of internal SWOT analysis, and in order to achieve the predetermined targets, in 2013 Bank Index will apply some strategies or work programs, among others:

1. To strengthen the capital structure, Bank Index will conduct an Initial Public Offering (IPO) in the second semester of 2013.

2. Continue to develop offices & ATM networks

3. Continue to develop and foster a culture of compliance at all levels of organization.

4. Campaigns and promotional activities for Bank Index funding products.

5. Continously developing the so-called E-Banking system relating to Internet and Mobile Banking.

6. To increase third-party funds with the emphasis on increasing ratio of low-cost funds (CASA-Current Account & Savings Account Ratio), and to increase composition of long-term savings accounts, Bank Index is going to intensify the marketing efforts on Tabungan Idaman and Giro Plus.

7. Increase fee-based income, among others through:• Enriching features of electronic delivery

channels, as an effort to optimize and improve facilities of Bill Payment transactions.

• Increasing the volume and transactions of trade finance, remittances, and foreign exchange (FX).

8. In order to meet the needs for qualified human resources in the future, Bank Index will hold Officer Development Program (ODP) training, scheduled to take place in the second quarter of 2013.

Rencana Jangka Menengah dan PanjangRencana sasaran jangka menengah dan panjang disusun untuk menunjang pencapaian visi dan misi Bank Index, sekaligus memperkuat eksistensi Bank Index.

Langkah-langkah yang akan ditempuh untuk mencapai tujuan tersebut antara lain:1. Tingkat pertumbuhan rata-rata tahunan

(CAGR) aktiva Bank ditargetkan di atas 20% dalam 3 (tiga) tahun kedepan.

2. Mempertajam fokus usaha pada segmen pasar ritel melalui pengembangan jaringan kantor pada lokasi-lokasi strategis.

3. Melanjutkan hubungan kerjasama pembiayaan dengan beberapa lembaga keuangan seperti Bank Perkreditan Rakyat (BPR) dan Perusahaan Pembiayaan (finance company) untuk mendukung Usaha Kecil dan Menengah (UKM).

4. Meningkatkan penghimpunan dana murah, sekaligus menambah basis nasabah.

5. Membangun dan meningkatkan sistem Informasi Teknologi yang dapat terus mendukung dan memenuhi kebutuhan perkembangan usaha Bank.

Medium and Long Term PlanThe medium and long term strategic plan is designed to facilitate the realization of Bank Index’s vision and mission, whilst solidifying the existence of Bank Index.

The following steps has to be taken to achieve those objectives :1. The average Compound Annual Growth Rate

(CAGR) of assets is targeted to reach above 20% for the next 3 (three) years.

2. Intensify business focus on retail segment by expanding branch office network in strategic locations.

3. Continue cooperation with financial institutions such as Rural Banks (BPR) and Finance Companies in providing financing to support small and medium business.

4. Increase the accumulation of low-cost funds whilst expanding customer base.

5. Develop and improve Information Technology system to support and better cater to the needs of the Bank’s business development.

Perkembangan Perekonomian dan Sasaran PasarReuters dalam laporannya tanggal 7 September 2012 menjelaskan bahwa, Presiden Bank Sentral Eropa (ECB) Mario Draghi, memproyeksikan pertumbuhan Produk Domestik Bruto (PDB) 2012 negara-negara Eropa, akan berkisar antara minus -0,6% hingga -0,2%. Sementara untuk tahun 2013, ECB memproyeksikan pertumbuhan PDB negara-negara tersebut akan lebih baik, yaitu akan berkisar antara -0,4% sampai dengan 1,4%.

Terkait perkembangan ekonomi global, Staf Khusus Presiden Bidang Ekonomi dan Pembangunan pernah mengemukakan, bahwa perkembangan ekonomi global diperkirakan masih diselimuti persoalan krisis utang Eropa dan pemulihan Amerika Serikat (AS). Pemulihan global terkendala proses recovery negara-negara tersebut dan memberi tekanan pada permintaan global, baik perdagangan maupun investasi.

Hal Ini akan menyebabkan perlambatan ekonomi global, termasuk Asia. Asian Development Bank (ADB) memperkirakan pertumbuhan ekonomi Amerika Serikat pada 2012 hanya sebesar 1,9% atau terkoreksi dari proyeksi sebelumnya sebesar 2%. Wilayah Eropa diproyeksikan masih mengalami pertumbuhan negatif 0,6% atau terkoreksi dari proyeksi sebelumnya sebesar negatif 0,5%.

Koreksi ini kemudian juga berdampak pada kawasan Asia yang diproyeksi ADB akan tumbuh 6,1% pada 2012 atau turun dari proyeksi sebelumnya sebesar 6,9% (kecuali Jepang yang direvisi naik dari 1,9% menjadi 2,3%). ADB juga merevisi pertumbuhan Asia pada 2013 menjadi 6,7% dari sebelumnya sebesar 7,3%. Dua negara motor pertumbuhan Asia dan global, yaitu China dan India, juga mengalami tekanan perlambatan.

Economic Development and Target Market

In a Reuters report dated 7 September 2012, the President of the European Central Bank (ECB) Mario Draghi, projected the growth of Gross Domestic Product (GDP) of European countries for 2012 would range between -0.6% to -0.2%. Whilst for 2013, the ECB projected GDP growth of these countries will be better, ranging from -0.4% to 1.4%.

Related to the development of the global economy, the President’s Special Staff for Economic Affairs and Development announced that the global economy is expected to continue having to deal with the issues of the European debt crisis and the recovery of the United States (US) economy. Global recovery is constrained by the recovery of these countries and will put pressure on global demand, both trade and investment.

This situation will lead to a global economic slowdown, including Asia. Asian Development Bank (ADB) has estimated economic growth of the United States in 2012 was only 1.9% or reduced from the previous projection of 2%. European region is projected to experience a negative growth of 0.6% or reduced from the previous projection of negative 0.5%.

These corrections subsequently have an impact on the economy of the Asian region which was projected by the ADB to grow 6.1% in 2012 or reduced from the previous projection of 6.9% (excluding Japan which was revised up from 1.9% to 2.3%). ADB also revised the growth in Asia in 2013 from 7.3% to 6.7%. Two countries that have been the motor of global and Asian economic growth, namely China and India, are also experiencing a slowdown.

Kontraksi indeks manufaktur China selama hampir setahun terakhir, menekan laju ekonomi China pada 2012 yang diperkirakan hanya tumbuh 7,7% atau terkoreksi dari perkiraan sebelumnya sebesar 8,5% dan turun dibandingkan 9,3% pada 2011. Begitu juga pertumbuhan India pada 2012 direvisi hingga di level 5,6% dari sebelumnya 7% atau turun dibandingkan pertumbuhan 2011 sebesar 6,5%. Penurunan ini disebabkan tekanan permintaan global baik ekspor maupun investasi yang merupakan tulang punggung ekonomi China dan India dalam beberapa waktu terakhir.

Negara-negara yang bergantung pada strategi ekspor (export-led growth) tentunya akan semakin sulit di tengah dinamika permintaan global yang semakin lesu. Sebaliknya negara-negara dengan strategi pertumbuhan berbasis ekonomi domestik (domestic-led growth) relatif lebih mampu memitigasi dampak krisis dan merespons penurunan permintaan global. Indonesia berdasarkan prediksi ADB diperkirakan tumbuh 6,3% pada 2012 atau turun dari proyeksi sebelumnya 6,4%.

Proyeksi Pertumbuhan Ekonomi 2013Dalam acara Overview Prospek Perekonomian dan Pembangunan Nasional, Program Sekolah Staf Pimpinan BI, tanggal 3 September 2012, Menteri PPN/Kepala Bappenas, Prof. Dr. Armida S. Alisjahbana, menyampaikan bahwa prospek ekonomi Indonesia pada tahun 2013 akan lebih baik dari tahun 2012. Pertumbuhan ekonomi Indonesia diupayakan dapat mencapai 6,5%-6,8% pada tahun 2013 dan 6,9% pada tahun 2014. Sementara hingga triwulan II tahun 2012, pertumbuhan ekonomi Indonesia lebih dari 6%. PDB per kapita pada tahun 2013 diharapkan mencapai USD 3.445 dan pada tahun 2014 ditargetkan akan meningkat menjadi USD 3.811. Pertumbuhan ekonomi tersebut didorong oleh konsumsi masyarakat yang merupakan komponen utama dari permintaan domestik, dan investasi serta ekspor barang dan jasa.

The Index contraction of China’s manufacturing industry during the last year suppressed the rate of China’s economic growth in 2012, which was expected to grow only 7.7% or corrected from the previous projection of 8.5%, and this number was down from the 9.3% growth in 2011. India’s economic growth in 2012 was also revised to the level of 5.6% from the previous projection of 7%, or lower compared to the growth of 6.5% in 2011. The correction was due to the pressure of global demand for both exports and investment, which had become the motor of China and India’s economic growth in the last few years.

The countries that relied on export strategy (export-led growth) will certainly experience more difficulty in the dynamics of an increasingly sluggish global demand. In contrast, countries with economic growth strategy based on domestic demand (domestic-led growth) will be relatively more apt to mitigate the impact of the crisis and response to the slowdown of global demand. Indonesia’s economy based on the projection of ADB was expected to grow as much as 6.3% in 2012 or down from the previous projection of 6.4%.

2013 Economic Growth ProjectionsIn the Economic Prospect Overview and National Development event, held by School of BI Leader Staff Program, on September 3, 2012, the State Minister of National Development Planning / Head of National Development Planning (BAPPENAS), Prof. Dr. Armida S. Alisjahbana said that Indonesia’s economic prospect in 2013 will be better than 2012. Indonesia’s economic growth is targeted to achieve 6.5% - 6.8% in 2013 and 6.9% in 2014. Meanwhile, until the second quarter of 2012, Indonesia’s economic growth was already more than 6%. GDP per capita in 2013 is expected to reach USD 3,445, and in 2014 is expected to increase to USD 3,811. Economic growth is driven by private consumption which is the major component of domestic demand and investment as well as exports of goods and services.

Peningkatan PDB ini diharapkan dapat tercapai dengan menargetkan penurunan tingkat pengangguran menjadi 5%-6% dan tingkat kemiskinan menjadi maksimal 8%-10% pada tahun 2014. Sampai dengan triwulan II tahun 2012, tingkat pengangguran 6,7%-7,0% dan tingkat kemiskinannya di kisaran 10,5%-11,5%. Tingkat kemiskinan nasional diharapkan dapat diturunkan lagi pada kisaran 9,5%-10,5% pada tahun 2013.

Lebih lanjut disampaikan, dalam hal terjadinya perlambatan ekonomi dunia yang semakin serius dan pemulihan ekonomi dunia yang tidak sekuat tahun 2010 dan 2011, sasaran pertumbuhan ekonomi Indonesia kemungkinan perlu disesuaikan terutama pada sisi ekspor, yang pada tahun 2012 tingkat ekspor Indonesia sebesar 1,8%. Diharapkan pada tahun 2013 ditingkatkan menjadi 8,5% lalu pada tahun 2014 ditargetkan menjadi 12,0%. Dengan penyesuaian ini, basis pertumbuhan ekonomi Indonesia tahun 2012 menjadi 6,3%, tahun 2013 menjadi 6,6% dan tahun 2014 menjadi 6,9%.

Pertumbuhan ekonomi Indonesia diatas 6% pada tahun 2013 juga diproyeksikan oleh Asian Development Bank (ADB). ADB memprediksi pertumbuhan ekonomi Indonesia kembali membaik pada 2013 mendatang menjadi 6,6%. Pertumbuhan ini didukung oleh kinerja investasi yang tetap tinggi dan perbaikan ekspor. Faktor pendorong lain adalah re-balancing dalam sumber pertumbuhan ekonomi.

Optimisme berbagai pihak tersebut terhadap kondisi ekonomi Indonesia tahun 2013, membuat kami tetap berkeyakinan bahwa, masih cukup banyak kesempatan bagi Bank Index untuk tetap tumbuh dan berkembang di tahun 2013, baik dari sisi penyaluran kredit maupun penghimpunan dana pihak ketiga.

This increase in GDP is expected to be achieved by targeting the decrease in unemployment rate to 5%-6% and the poverty rate to be at most 8%-10% in 2014. Until the second quarter of 2012, the unemployment rate was between 6.7% to 7.0% and the poverty rate was between 10.5%-11.5%. National poverty rate is expected to drop again in the range of 9.5% to 10.5% in 2013.

Furthermore, the world economic slowdown which is increasingly getting serious and the world economic recovery which was not as strong as in 2010 and 2011, Indonesia’s economic growth targets may need to be adjusted, especially on the export sector. Indonesia’s export growth was 1.8% in 2012. In 2013, it is expected to increase up to 8.5%, and in 2014 it is targeted to be 12.0%. With this adjustment, the basis of Indonesia’s economic growth becomes 6.3% in 2012, 6.6% in 2013 and 6.9% in 2014.

Indonesia’s economic growth above 6% in 2013 was also projected by the Asian Development Bank (ADB). ADB predicted that Indonesia’s economic growth will get better and it will reach 6.6% in 2013. This growth is supported by good investment climate and exports improvement. Another supporting factor is the re-balancing in sources of economic growth.

These optimism from various parties towards the economic condition of Indonesia in 2013 convince us that there is still an ample opportunity for Bank Index to continuously grow and expand in 2013, both in terms of lending, as well as raising third party fund.

Teknologi InformasiTeknologi dan Sistem Informasi selalu menjadi perhatian dari manajeman Bank Index. Untuk mendukung operasional sehari-harinya Bank Index menggunakan system Aplikasi Core Banking Bank Vision. Dengan system ini semua jaringan kantor terhubung ke pusat data Bank Index, sehingga semua transaksi dapat dilaksanakan secara on line di semua cabang secara real time.

Untuk mendukung layanan kepada Nasabah, Bank Index juga sudah menyediakan ATM di beberapa Kantor Cabangnya, serta melengkapi system pembayaran melalui EDC yang tersedia disemua Counter Bank Index. Melalui kedua system tersebut nasabah dapat melakukan pembayaran tagihan Telkom, PLN dan beberapa kartu kredit secara on line di semua cabang. Bahkan Bank Index dapat melayani Nasabah yang menghendaki adanya pembayaran secara otomatis terhadap tagihan-tagihan tersebut melalui fasilitas Autodebet Bill Payment. Dengan EDC nasabah juga dapat melakukan penyetoran tunai tanpa perlu mengisi slip setoran, dan melakukan transfer ke bank lain anggota ATM Bersama secara real-time online.

Sesuai dengan ketentuan dari Bank Indonesia dan dengan dukungan dari PT.Multipolar sebagai pengembang dari core banking Bank Vision, maka pada saat ini Bank Index telah mengadopsi ketentuan PSAK 50-55 untuk sistem akuntasinya.

Kedepan Bank Index akan terus mengupayakan untuk mengembangkan system Teknologi Informasinya dengan menambah layanan E-Channel lainnya serta menambah fitur-fitur layanan yang dapat memberikan kemudahan dan kenyamanan bertransaksi di Bank Index.

Sumber Daya ManusiaStrategi pengembangan sumber daya manusia Bank Index diselaraskan dengan

Information TechnologyInformation System and Technology has always been the management’s concern. To support the daily operations, we use BankVision Core Banking Application System. With this system, all networks are connected to the data center so that all transactions can be carried out on line at all branches in real time.

To support our services to customers, Bank Index also provides ATMs at several branch offices, and enables the customers to make their payment via EDC available in all Bank Index Teller counters. Through these systems, customers can pay telephone bill (Telkom), electricity bill (PLN) and several credit cards on-line at all branches. Customers can also pay their bills using Autodebit Bill Payment facility if they want to. With the EDC, they can also make cash deposits without filling out deposit slips, and transfer their money through ATM Bersama Network members in real-time online.

In accordance to Bank Indonesia Regulation and with the support of PT. Multipolar, the developer of BankVision, Bank Index has already adopted the PSAK 50-55 Regulation in its accounting system.

In the coming future, Bank Index will continue to develop its information system and technology by providing other E-Channel services as well as adding service features that allow the customers to do their transactions in Bank Index easily and conveniently.

a financially sound, strong and reliable retail bank” and mission “oroviding the best support for your business”. Broadly speaking, this was done to improve the personnel’s job satisfaction and the corporate performance through the best possible services to customers.

This condition is believed to be able to improve the quality of human resources to be in the position of “Human Capital” that will play an important and benefitial roles in the business competition. Human resource management is formally initiated from persons, who are in the position of prospective employees, until the time they have to terminate their services to the bank.

To meet the growing need for human resources in the future, In the year 2011 Bank Index conducted a so called Officer Development Program (ODP) training, participated by a total number of 10 participants. Besides, Bank Index also continuously evaluated some programs in its efforts to improve the employees’ prosperity and satisfaction to the jobs and professions they are holding. One of the programs was providing health insurance coverage to all employees and their families in order for them to be able to have a conducive and peaceful working condition, and ultimately increase their productivity.

Human Resource Development Plan

Human resource development plan will be carried out as effectively as possible in line with the needs, as well as to support the development of bank’s business and organization in the future.

• Working Programs of Human Resources9The working programs of human resources in 2013 will be correlated to the business development plan and the expansion of bank office network. The working programs are as follow:

Visi perusahaan yaitu, “Menjadi Bank Retail Yang Sehat, Kuat Dan Terpercaya” dan Misi perusahaan yaitu “Memberi Dukungan Terbaik Bagi Usaha Anda”. Secara garis besar hal tersebut dilakukan untuk meningkatkan kepuasan kerja dari sisi karyawan dan peningkatan kinerja perusahaan melalui pelayanan terbaik kepada nasabah.

Kondisi ini diyakini dapat menciptakan sumber daya manusia yang memiliki kualitas prima sehingga dapat menjadi “Human Capital” di dalam persaingan bisnis. Pengelolaan sumber daya manusia secara formal dimulai dari seseorang menjadi calon karyawan, sampai dengan berakhirnya hubungan kerja.

Untuk memenuhi kebutuhan SDM yang terus meningkat di masa-masa mendatang, Pada tahun 2012 Bank Index telah menyelenggarakan Officer Development Program (ODP) yang diikuti oleh sebanyak 10 peserta. Dalam rangka pemenuhan kebutuhan Sumber Daya Manusia yang berkualitas dimasa yang akan datang, selain membuat beberapa program training tertentu seperti pelatihan Account Officer, Front Office dan lainya, baik yang dilakukan secara internal maupun eksternal, Bank Index juga akan mengadakan program pelatihan Officer Development Program (ODP) angkatan V, yang direncanakan berlangsung pada triwulan I-II.

2. Menyusun dan menerapkan sistem “Career Path” and “Career Planning” dengan memberikan promosi jabatan bagi Pegawai yang menunjukkan prestasi kerja dan kemampuan yang tinggi.

3. Melakukan “Survey Kepuasan Kerja” untuk mengetahui gap antara kebutuhan/harapan karyawan dengan kompensasi dan benefit yang diterima saat ini. Hasil dari survey ini akan digunakan untuk:

• Masukan bagi Manajemen dalam hal tingkat kepuasan kerja kerja karyawan saat ini.

• Bahan evaluasi bagi peningkatan sistem kompensasi dan benefit bagi karyawan sebagai salah satu unsur “stake holder”.

• Peningkatan produktifvitas kerja.4. Melakukan Basic Training Program

Ini merupakan training dasar yang diberikan kepada pegawai yang baru masuk sebagai keterampilan dasar yang harus dimiliki agar pegawai tersebut bisa bekerja atau menduduki jabatan tertentu. Basic training dilaksanakan secara berkesinambungan sejalan dengan penambahan karyawan. • Gaji PokokGaji pokok semua karyawan ditinjau sekali setiap tahun. Penyesuaian tahunan gaji pokok mencakup 2 (dua) komponen, yaitu penyesuaian karena inflasi dan peningkatan gaji yang ditinjau dari prestasi kerja.

Transactions with Related PartiesIn the process of business development, Bank Index has made several transactions with related parties. These transactions have been carried out with the same conditions and treatment as any other transactions with third parties. The transactions described are as follows:

Significant Changes and Events in 2012

The significant changes that occurred in 2012 was in December 2012, where the Management of Bank Index appointed 2 (two) new Division Heads, namely Mr. Cipto Haryanto as the Head of Business Division and Ms. Pera Trisiana as the Head of Funding & Service.

Corporate Social Responsibility As a form of social responsibility, during 2012 Bank Index has organized several social activities, including distributing basic needs goods to the underprivileged residents in the area of Tanjung Priok, North Jakarta in June 2012 and giving scholarships and basic needs goods to the foster children of Darmajati Orphanage in Denpasar, Bali December 2012.

Timoty E. MarnandusPresiden KomisarisWarga Negara Indonesia, lahir di Bandar Lampung tahun 1946. Memperoleh gelar MBA dari University of Southern California, Los Angeles pada tahun 1988. Berpengalaman di bidang perbankan lebih dari 34 tahun. Beliau juga aktif sebagai pengajar pada Universitas Indonesia. Sebelum menjadi Komisaris Utama Bank Index pada pertengahan tahun 2010, beliau sempat menjadi Managing Director pada Bank Danamon (1976-1987), Presiden Direktur pada Bank Arta Pusara (1987-1989), Direktur Utama Bank Haga (1989-2000), Komisaris Utama Bank Hagakita (2000-2008), dan Komisaris Utama pada Rabobank International Indonesia (2008-2009). Selain itu beliau juga sempat menjadi Komisaris dibeberapa perusahaan, di antaranya PT. Bhakti Karya Vita.

Alwi SetiawanWakil Presiden KomisarisWarga Negara Indonesia, lahir di Jakarta tahun 1958. Menjadi Wakil Presiden Komisaris Bank Index sejak awal berdirinya hingga sekarang. Berpengalaman di bidang pengelolaan perusahaan (Direktur & Pemegang Saham) selama lebih kurang 29 (dua puluh sembilan) tahun.

Joko SetiawanKomisarisWarga Negara Indonesia, lahir di Jakarta tahun 1974. Memulai karir sebagai konsultan riset pemasaran pada Frank Small & Associates, Indonesia. Berpengalaman di bidang perbankan khususnya PT. Bank Bumi Daya selama kurang lebih 35 (tiga puluh lima) tahun. Menjabat sebagai Komisaris Independen di Bank Index sejak tahun 2001 hingga sekarang. Selain itu beliau juga sebagai anggota Senior Ahli IBI.

Bosur SimatupangKomisarisWarga Negara Indonesia, lahir di Tarutung (Sumatera Utara) tahun 1952. Lulus dari Sekolah Tinggi Ekonomi Indonesia Jakarta, Jurusan Akuntansi pada tahun 1989. Berpengalaman di bidang perbankan di mulai sejak tahun 1975 pada PT. Bosur SimatupangCommissionerIndonesian, born in Tarutung (North Sumatera), 1952. Graduated in 1989 from Sekolah Tinggi Ekonomi Indonesia in Jakarta majoring in Accounting. Started his banking career with PT Bank Bumi Daya in 1975, then joined Bank Mandiri until 2007 with the last position as a Branch Manager in Cik Ditiro Branch, Jakarta. Sebelumnya menjadi Komisaris Utama pada Bank Kesawan serta pernah menjadi Direktur pada Bank Deka Jakarta (1994), Presiden Direktur Bank Danpac (1997-2001), Direktur Batara Finance (2003), Direktur Utama Batara Finance (2004-2005). Menyelesaikan pendidikan formal dan memperoleh gelar sarjana dari Fakultas Teknik / Teknis Gas & Petrokimia Universitas Indonesia dan mendapat gelar Master di bidang Manajemen dari Arthur D.Little School of Management, Boston – USA. Selesai mengikuti Officer Development Program (ODP) Bank Panin pada tahun 1987, beliau memulai karir perbankan sebagai Account Officer pada Bank Panin Cabang Utama Jalan Kopi Jakarta tahun 1988. Jabatan terakhir di Bank Panin sebagai Kepala Bidang Operasi Cabang Utama Senayan. Sebelum bergabung dengan Bank Panin, pada tahun 1986-1987 sempat bekerja pada PT Elnusa Well Logging sebagai Junior Field Engineering.
